Terms of Service

1. Eligibility

You must be at least 18 years old, or the legal age of majority in your jurisdiction, to use the Service. By using the Service, you represent that you meet this requirement.

2. The Service

LyricsStudio is a software tool that generates structured text prompts compatible with third-party music generation platforms (such as Suno AI). The Service is provided as a productivity tool. You are responsible for how you use the generated output and any third-party platforms you submit it to.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. User Content and Copyright

4.1 Your Content

You retain all rights to lyrics, descriptions, or other text you submit to the Service ("User Content"). By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to process it for the purpose of providing the Service.

4.2 Your Responsibilities

You are solely responsible for ensuring that any User Content you submit:

• Is owned by you or used with proper authorization from the rights holder
• Does not infringe any third party's copyright, trademark, or other intellectual property rights
• Does not contain illegal, defamatory, harassing, or otherwise unlawful material

You may not submit lyrics or other content that you do not have the legal right to use. The Service is intended for original work and content you are authorized to process.

4.3 No Hosting of Copyrighted Material

We do not host, store, or distribute copyrighted music, lyrics, or any other copyrighted material. Generated prompts may be temporarily stored to provide the Service but are not made publicly available, redistributed, or used to train any models.

4.4 DMCA / Copyright Complaints

If you believe content on the Service infringes your copyright, send a written notice to support@lyricsstudio.xyz including:

• A description of the copyrighted work
• The location of the allegedly infringing material on the Service
• Your contact information
• A statement of good-faith belief that use is unauthorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act

We will respond to valid notices in accordance with the DMCA.

5. Acceptable Use

You agree not to:

• Use the Service to generate content that infringes third-party rights
• Attempt to reverse-engineer, scrape, or circumvent the Service
• Use automated tools (bots, scripts) to access the Service without our written permission
• Resell or sublicense the Service or its output without authorization
• Use the Service to create misleading, defamatory, or harassing content
• Submit lyrics from songs you do not own or have rights to use

Violation may result in account termination without refund.

6. Subscriptions and Billing

6.1 Free Tier

Free accounts receive 3 lifetime generations. There is no recurring obligation.

6.2 Pro Subscription

The Pro subscription is billed at $1.99 USD per month and automatically renews until cancelled. By subscribing, you authorize us (and our payment processors, Stripe and PayPal) to charge your payment method on a recurring basis.

6.3 Cancellation

You may cancel your subscription at any time from your account page. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

6.4 Price Changes

We may change subscription pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance.

6.5 Refunds

All payments are final. We may, at our sole discretion, issue refunds in cases of clear billing error.

7. Third-Party Services

The Service generates prompts intended for use with third-party platforms (Suno AI, etc.). Your use of those platforms is governed by their own terms. We are not affiliated with, endorsed by, or responsible for any third-party platform.

8. Intellectual Property

The Service, including its design, code, branding, and underlying engine, is owned by Flet Media and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that generated output will meet your expectations or yield desired results on third-party platforms.

We make no guarantee that:

• Generated prompts will produce specific or expected results in Suno or other platforms
• The Service will remain available indefinitely
• Output will be free of errors or unintended content

10. Limitation of Liability

To the maximum extent permitted by law, Flet Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Service.

Our total aggregate liability to you for all claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $50 USD.

11. Indemnification

You agree to indemnify and hold harmless Flet Media, its operators, and affiliates from any claims, damages, or expenses (including attorneys' fees) arising from:

• Your violation of these Terms
• Your User Content infringing third-party rights
• Your misuse of the Service

12. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (intellectual property, disclaimers, limitations of liability, indemnification, governing law) will survive.

13. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service. Continued use after changes take effect constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or your use of the Service shall be brought exclusively in the state or federal courts located in Pennsylvania, and you consent to the personal jurisdiction of those courts.
